3. Client Responsibilities
To ensure successful project delivery, the client agrees to:
- Provide Content: Supply all necessary text, images, branding assets, and other content required for the project in a timely manner
- Timely Feedback: Review deliverables and provide clear, constructive feedback within the agreed-upon timeframes. Delays in feedback may result in extended project timelines
- Access Credentials: Provide any required access credentials for hosting accounts, domain registrars, third-party platforms, or existing systems as needed for the project
- Accurate Information: Ensure all information and materials provided are accurate, complete, and do not infringe on any third-party rights
- Point of Contact: Designate a single point of contact for communication and decision-making throughout the project
4. Project Process
Our standard project workflow typically follows these phases:
- Discovery: We gather requirements, understand your business goals, target audience, and project scope through detailed discussions and questionnaires
- Design: We create wireframes, mockups, and visual designs for your approval. Revisions are included as outlined in the project proposal
- Development: Upon design approval, we proceed with coding, integration, and building the functional product

- Launch: After final client approval, we deploy the project to the live environment and provide any necessary handover documentation

5. Payment Terms
Payment terms are structured as follows unless otherwise agreed in writing:
- Milestone-Based Payments: Payments are typically structured around project milestones as outlined in the project proposal
- Deposit Requirement: A non-refundable deposit (typically 30-50% of the total project cost) is required before work commences. The exact percentage will be specified in the project proposal
- Payment on Delivery: The remaining balance is due upon project completion and before final handover of all deliverables and source files
- Payment Methods: Accepted payment methods will be communicated at the time of invoicing
- Late Payments: Invoices not paid within the specified due date may result in project suspension until payment is received
All prices quoted are exclusive of applicable taxes unless stated otherwise.
6. Intellectual Property
Intellectual property rights are handled as follows:
- Client Ownership: Upon receipt of full and final payment, the client owns all rights to the final deliverables, including design files, source code, and other project-specific assets created for the project
- Portfolio Rights: Sterling Infotech retains the right to showcase the completed project in our portfolio, website, social media, and marketing materials, unless a non-disclosure agreement is in place
- Third-Party Assets: Any third-party assets (stock images, plugins, libraries, fonts) used in the project remain subject to their respective licences
- Pre-Existing Materials: Any frameworks, tools, code libraries, or methodologies developed by Sterling Infotech prior to or independently of the project remain our intellectual property
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes, but is not limited to:
- Business strategies, plans, and financial information
- Login credentials and access details
- Trade secrets and proprietary processes
- Customer data and contact information
Confidentiality obligations survive the termination of the service agreement and remain in effect unless the information becomes publicly available through no fault of the receiving party, or disclosure is required by law.
8. Warranties & Limitations
Sterling Infotech provides the following warranties and disclaimers:
- Quality of Work: We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards
- Bug Fixes: We provide a reasonable warranty period (as specified in the project proposal) after launch for fixing bugs that arise from our development work
- No SEO Guarantees: While we follow best practices for search engine optimisation, we do not guarantee specific search engine rankings, traffic volumes, or conversion rates. Search engine algorithms are controlled by third parties and are subject to change without notice
- Uptime: We do not guarantee 100% website uptime. Uptime is dependent on the client's hosting provider, domain registrar, and other third-party infrastructure beyond our control
- Third-Party Dependencies: We are not responsible for issues caused by third-party software, plugins, APIs, or services integrated into the project
9. Third-Party Services
Projects may involve the use of third-party services and platforms that are not owned or controlled by Sterling Infotech, including but not limited to:
- Hosting Providers: Web hosting, cloud servers, and content delivery networks
- APIs & Integrations: Third-party APIs, data feeds, and software integrations
- Payment Gateways: Online payment processing services
- CMS & Platforms: Content management systems and e-commerce platforms
- Analytics & Marketing Tools: Google Analytics, social media platforms, and email marketing services
These third-party services are governed by their own terms and conditions. Sterling Infotech is not responsible for the availability, performance, security, or policies of any third-party services. Any costs associated with third-party services are the responsibility of the client unless otherwise agreed.
10. Termination & Cancellation
Either party may terminate the service agreement under the following conditions:
- Client Cancellation: The client may cancel the project at any time by providing written notice. However, any deposits paid are non-refundable, and payment is due for all work completed up to the date of cancellation
- Sterling Infotech Termination: We reserve the right to terminate a project if the client fails to provide required materials, feedback, or payments within reasonable timeframes after repeated requests
- Mutual Agreement: Both parties may agree to terminate the project at any time, with payment settled for all work completed
Upon termination, Sterling Infotech will deliver all completed work up to the point of termination, subject to payment for that work.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Sterling Infotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities
- Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific project in question
- We are not liable for any losses resulting from the client's misuse of deliverables, failure to maintain backups, or actions of third-party service providers
- We are not responsible for delays caused by circumstances beyond our reasonable control, including natural disasters, internet outages, or government actions (force majeure)
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.
Both parties agree to attempt to resolve any disputes amicably through good-faith negotiation before pursuing legal action.
13. Changes to Terms
We reserve the right to update or modify these Terms of Service at any time. Any changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
